These Terms of Service govern your access to and use of the Sartam Africa website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

"Sartam", "we", "us" or "our" means Sartam Africa. "Client", "you" or "your" means the individual or organisation accessing our website or engaging our services. "Services" means all technology solutions, consulting, development and managed services provided by Sartam.

2. Use of Our Website

You may access and use our website for lawful purposes. You must not use it to violate applicable laws, attempt to gain unauthorised access, transmit malicious code, scrape data without permission, impersonate Sartam or any staff, or transmit unsolicited commercial communications.

3. Intellectual Property

All content on this website is the property of Sartam Africa or its content suppliers and protected by applicable IP laws. For client projects, IP ownership is governed by the specific contract. Unless otherwise agreed in writing, full IP ownership transfers to the client upon final payment.

4. Services and Engagements

All service engagements are governed by a written proposal or service agreement. No engagement commences until a proposal is signed and a deposit received. Clients agree to provide timely access to required information. Changes to agreed scope must be submitted in writing and are subject to a change request process.

5. Payment Terms

Payment terms are specified in each project proposal. Generally: a deposit (30–50%) is required before work commences, milestone payments are due upon achievement of defined milestones, final payment is due upon delivery, invoices are payable within 14 days, and late payments may attract interest.

6. Warranties and Liability

We warrant our services will be performed with reasonable care and skill by qualified professionals. To the maximum extent permitted by law, Sartam's total liability shall not exceed the total fees paid by the client in the 12 months preceding the claim. We shall not be liable for indirect, consequential, special or punitive damages.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information received during an engagement. This obligation survives the termination of any agreement. All engagements are covered by an NDA forming part of our standard contract.

8. Termination

Either party may terminate an engagement by providing written notice as specified in the relevant service agreement. Upon termination, the client is liable for work completed to the date of termination. Sartam will provide all deliverables created to that date.

9. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless an alternative dispute resolution mechanism is agreed in writing.

10. Changes

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website after changes are posted constitutes acceptance of the revised Terms.
